Sticky Solutions Artist Contest Agreement
This Artist Contest Agreement (the "Agreement") is made between Sticky Solutions Vinyl LLC ("Company") and the Contest Participant ("Artist", “You”). By submitting your design ("Design") to the Sticky Solutions Monthly Artist Contest ("Contest"), you agree to the following terms and conditions:
1. Submission and Eligibility
1.1 Eligibility: The Contest is open to individuals who are 18 years of age or older. By submitting a Design, you represent and warrant that you meet these eligibility criteria. 1.2 Original Work: The Artist warrants that the submitted Design is their original creation and does not infringe on any copyright, trademark, or other intellectual property rights.
1.3 Submission Guidelines: All Designs must adhere to the format, size, and theme specified in the Contest rules published on the Company’s website.
2. Rights and Usage
2.1 Limited License: By submitting a Design, the Artist grants the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute, and display the Design for the following purposes:
Evaluating and selecting a Contest winner.
Promoting the Contest and showcasing entries on the Company’s website and social media platforms.
2.2 Winner’s Rights: If the Artist’s Design is selected as the Contest winner:
The Artist grants the Company exclusive rights to reproduce, distribute, and sell the Design as a limited-edition sticker for the duration of one month.
The Artist retains ownership of the copyright but agrees not to license or sell the Design to any third party during the exclusivity period.
The Company agrees to attribute the Design to the Artist where feasible, such as in product descriptions and promotional materials.
3. Compensation and Prizes
3.1 Winner’s Prize: The winning Artist will receive ten (10) free stickers featuring their Design. The stickers will be shipped to the address provided by the Artist within 30 days of the Contest’s conclusion.
3.2 Optional Revenue Sharing: At the Company’s discretion, the Artist may receive a percentage of the profits from sales of the winning Design. If applicable, this arrangement will be detailed in a separate addendum.
4. Representations and Warranties
4.1 Originality: The Artist represents and warrants that their Design is original and free from any third-party claims.
4.2 Liability: The Artist agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the use of the Design.
5. Privacy and Confidentiality
5.1 Privacy: The Company will use the Artist’s personal information solely for Contest-related purposes and will not share it with third parties without consent.
6. Miscellaneous
6.1 Amendments: The Company reserves the right to modify or cancel the Contest at any time, with or without notice.
6.2 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the state where the Company is headquartered.
By submitting a Design to the Contest, the Artist acknowledges that they have read, understood, and agree to the terms and conditions outlined in this Agreement.
